Legal Agreement & Risk Disclosure
This Legal Agreement and Risk Disclosure supplements the AlphaLens Terms and Conditions. It sets out the regulatory status of Edhaz Markets Private Limited, the nature and limitations of the analytical output produced by the Platform, and the risks associated with securities investment.
Please read this document in full before relying on any output of the Platform.
1. Regulatory Status
Edhaz Markets Private Limited is a private limited company incorporated in India and operating as a financial technology provider.
Edhaz Markets Private Limited is NOT registered with the Securities and Exchange Board of India (SEBI) in any capacity.
Specifically, it is not:
- a SEBI-registered Investment Adviser (2013)
- a SEBI-registered Research Analyst (2014)
- a SEBI-registered Portfolio Manager (2020)
- a stock broker, sub-broker, or authorised person
- a depository participant, custodian, or clearing member
AlphaLens is a software product providing computational analysis of data supplied to it. It does not provide investment advice, research analysis for consideration, or portfolio management services.
Where AlphaLens is provided to or through a regulated intermediary, that intermediary acts in its own regulatory capacity and under its own registrations. Nothing in that arrangement makes Edhaz Markets Private Limited a regulated intermediary, and nothing in it transfers any regulatory obligation of the intermediary to us. The intermediary remains solely responsible for its own compliance, including any suitability assessment it is required to perform.
2. Nature of Platform Output
• Output is algorithmic, not analyst-authored
Scores and classifications are produced by a fixed arithmetic model applied uniformly to every security. No analyst reviews, approves, or forms a view on any individual security.
• Output is not personalised
The model does not consider your financial circumstances, income, liabilities, investment objectives, investment horizon, risk tolerance, tax position, or liquidity needs. Two users holding the same security receive substantially the same assessment of it.
• Output is not a forecast
The model describes observed historical data. It makes no prediction about future price or performance, and no representation that any classification will prove correct.
• Output is point-in-time
An assessment reflects data as at a stated date. It carries no implied validity period and may change as underlying data changes.
• Output depends on input quality
Incorrect quantities, stale average cost, or omitted transactions will produce correspondingly unreliable analysis.
• Confidence indicators are not probabilities
Where the Platform expresses a strength or conviction level, this reflects the degree of internal agreement within the model. It is not a statement of the likelihood that any assessment will prove correct.
3. Reallocation Output
Where the Platform classifies a holding for exit, it may identify candidate securities and an indicative allocation of the resulting proceeds. The following applies to that output specifically:
- • Analytical illustration:It is an analytical illustration of how proceeds could be distributed under stated constraints. It is not a recommendation to sell any holding, nor to acquire any candidate security.
- • Eligibility screening:Candidates are drawn from a maintained universe and screened against fixed eligibility criteria. Inclusion in that universe is not an endorsement of any security.
- • Gross allocations:Indicative allocations are computed gross of brokerage, statutory charges, and taxes. Actual proceeds available for redeployment will be lower.
- • Price variance:Quantities are indicative and based on prices as at the stated data date. Execution prices will differ.
- • Personal suitability:The Platform does not assess whether realising a holding is appropriate for you, including in relation to capital gains treatment, holding-period considerations, or your liquidity requirements.
4. Limitations of the Model
The Platform reads only publicly available market data and reported financial information. It cannot observe or account for:
- the quality or intentions of company management;
- governance concerns not yet reflected in market data;
- pending or threatened litigation;
- regulatory action or investigation;
- unpublished business developments;
- events occurring after the stated data date.
Financial inputs refresh on the corporate reporting cycle and will not anticipate a change in earnings trajectory between results. Measures derived from price trends lag by construction and will respond to sharp reversals more slowly than a human analyst would.
5. Risk Disclosure
Investment in securities is subject to market risk. You may lose part or all of the money you invest.
6. No Advisory Relationship
Your use of the Platform does not create an advisory, fiduciary, or agency relationship between you and Edhaz Markets Private Limited. We owe you no duty to assess the suitability of any security or strategy for you.

7. No Guarantee of Returns
We make no representation, warranty, or guarantee that use of the Platform will result in profit, avoidance of loss, or any particular outcome. No employee, officer, or representative is authorised to give such a guarantee, and any such statement should be disregarded.
8. Independent Judgement
All investment decisions are yours alone. You should undertake your own research, form your own view, and where appropriate seek professional advice before acting. Platform output is one input among many and is not determinative.
9. Third-Party Data
Market, corporate action, and reference data are obtained from third-party sources believed to be reliable but not independently verified. We accept no liability for errors, omissions, delays, or interruptions in third-party data, or for loss arising from reliance on it.
10. Conflicts of Interest
Edhaz Markets Private Limited maintains no proprietary trading book and holds no position in any security assessed by the Platform. It receives no payment from any issuer, distributor, or third party for the inclusion of any security in its analytical universe or for any assessment produced. Platform output does not vary with the transaction volume or brokerage economics of any partner or intermediary.
11. Limitation of Liability
To the maximum extent permitted by law, Edhaz Markets Private Limited and its directors, officers, employees, and affiliates shall not be liable for any investment loss, trading loss, loss of profit, loss of opportunity, or any indirect or consequential loss arising from use of the Platform or reliance on its output. Our aggregate liability is limited as set out in the Terms and Conditions.
12. Governing Law
This Agreement is governed by the laws of India, and the courts at Mumbai, India shall have exclusive jurisdiction over any dispute arising from it.
13. Acknowledgement
By using AlphaLens you acknowledge that you have read and understood this Legal Agreement and Risk Disclosure, that you understand the Platform does not provide investment advice, and that you accept sole responsibility for your investment decisions.
