Terms of Service Agreement

Welcome to AlphaLens, a product of Edhaz Markets Private Limited (referred to in this document as “AlphaLens,” “we,” “our,” or “us”). By accessing or using AlphaLens, you agree to comply with these Terms and Conditions (“Terms”), together with any policies, guidelines, or amendments published by us. Please read this document carefully before using the Platform.

1. Introduction

AlphaLens is a portfolio analytics platform. It analyses equity portfolios and produces quantitative assessments of the holdings within them, covering performance measurement, risk metrics, benchmark comparison, concentration analysis, and systematic classification of individual positions.

The Platform is made available in two ways: directly to subscribers through this website, and to institutional partners — including brokers, distributors, and financial institutions — under separate commercial agreement, whether through an interface, an application programming interface, or on a white-labelled basis.

Edhaz Markets Private Limited is a financial technology company. It is not a SEBI-registered Investment Adviser, Research Analyst, stock broker, or portfolio manager, and it does not provide personalised investment advice. AlphaLens is a software tool. The output it produces is analytical, not advisory.

2. Who These Terms Apply To

These Terms apply to every user of the Platform. Two categories of user should note the following:

Direct subscribers: If you registered on thealphalens.com and subscribe in your own name, these Terms constitute the entire agreement between you and us in respect of the Platform.
Users accessing through a partner: If you reached AlphaLens through a broker, distributor, or other institution — including where the service carries that institution’s branding — your commercial relationship is with that institution, and its terms govern that relationship. These Terms continue to govern your use of the Platform itself, in particular the provisions on prohibited conduct, intellectual property, disclaimers, and limitation of liability. Where the two conflict on a commercial matter such as pricing, cancellation, or support, your agreement with that institution prevails.

3. What AlphaLens Does

  • Portfolio analysis — computation of returns, gains and losses, holding periods, and allocation across sectors and market capitalisation bands.
  • Risk analytics — computation of standard risk measures including volatility, drawdown, and benchmark-relative statistics.
  • Position assessment — an algorithmic score for each holding, derived from valuation data, the performance of that holding, and its trading record, expressed as a systematic classification.
  • Reallocation analysis — where a holding is classified for exit, identification of candidate securities from a maintained universe together with an indicative allocation of proceeds.
  • Reporting — generation of downloadable reports summarising the above.
  • Programmatic access — delivery of the same analytics to institutional partners through an application programming interface, under separate commercial agreement.

4. What AlphaLens Is Not

Important Notice

This section is important and you should read it in full.

  • • It is not investment advice. No output of the Platform constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any transaction. Classifications and scores are the output of a fixed arithmetic model applied uniformly to all securities. They are not tailored to your financial situation, investment objectives, risk tolerance, tax position, or liquidity needs.
  • • It is not a substitute for a registered adviser. If you require personalised investment advice, consult a SEBI-registered Investment Adviser.
  • • It is not a broker or execution venue. The Platform does not place orders, hold securities, hold client funds, or execute transactions. Any transaction you undertake is executed through your own broker, under your own arrangements, at your own risk.
  • • It does not predict prices. The Platform makes no forecast about the future price or performance of any security.
  • • Reallocation output is not a portfolio. Where the Platform identifies candidate securities and indicative allocations, this is an analytical illustration of how proceeds could be distributed under stated constraints. It is not a managed portfolio, not a model portfolio published by a registered intermediary, and not a recommendation to transact.
  • • It does not verify your data. Analysis is computed from the holdings information supplied. Where that information is incomplete, stale, or incorrect, the analysis will be correspondingly unreliable.

5. Eligibility and Account

To use the Platform you must be at least eighteen years of age and competent to contract under the Indian Contract Act, 1872.

You agree to:

  1. Provide accurate and current information and keep it updated.
  2. Maintain the confidentiality of your credentials and notify us promptly at hello@alphamarket.co.in of any unauthorised access.
  3. Accept responsibility for all activity conducted under your account.
  4. Use the Platform for your own personal or internal business purposes only, and not on behalf of third parties unless expressly permitted under a separate written agreement with us.

We may suspend or terminate an account used in breach of these Terms, or where suspension is necessary to protect the Platform or other users.

6. Subscriptions and Payment

  1. Plans: Access to some features requires a paid subscription. Applicable plans, features, and prices are displayed at the time of purchase and may be revised prospectively on notice.
  2. Merchant of record: Direct subscriptions are purchased from Edhaz Markets Private Limited. We are the merchant of record for those transactions. Where access is provided through a partner, that partner bills you under its own arrangements.
  3. Taxes: Prices are exclusive of Goods and Services Tax unless stated otherwise.
  4. Payment processing: Payments are processed by third-party gateways. We do not store complete card or banking credentials.
  5. Auto-renewal: Subscriptions may renew automatically unless cancelled in advance. Where auto-renewal applies it is disclosed at purchase, and may be disabled from account settings.
  6. Failed payment: We may suspend access until payment completes. Data is retained during a reasonable grace period.
  7. Cancellations and refunds are governed by our Cancellation and Refund Policy.

7. Institutional and API Access

Access by brokers, distributors, and other institutions is governed by a separate written commercial agreement. In addition to that agreement, the following apply to all such access:

  1. Credentials: API keys are issued to a named institution and must not be shared, sublicensed, or transferred. The institution is responsible for all activity conducted under its credentials.
  2. Rate limits: Usage is subject to rate limits agreed commercially and enforced technically. We may throttle or suspend access that exceeds them or threatens Platform stability.
  3. Attribution & presentation: An institution must not present Platform output in a manner that implies it constitutes personalised investment advice, that it was authored by human analysts, or that any investment outcome is assured. Where output is surfaced to end clients, the institution is responsible for framing it accurately and for its own regulatory compliance.
  4. Suitability: An institution surfacing output to its clients remains solely responsible for assessing suitability against each client’s profile and objectives. We perform no suitability assessment.
  5. No derived methodology: An institution must not use Platform output, whether alone or in aggregate, to reconstruct, approximate, replicate, or reverse-engineer the Platform’s analytical methodology, scoring logic, weights, or thresholds, nor to develop a competing analytical product.
  6. Data protection: Where an institution transmits client data to the Platform, it warrants that it has the necessary consents and authority to do so.

8. Your Data and Your Holdings

You retain ownership of the holdings data you upload. You grant us a limited licence to process that data solely to deliver the services described in these Terms and to maintain, secure, and improve the Platform.

We handle personal information in accordance with our Privacy Policy. We do not sell your data, and we do not disclose individual holdings to advisers, brokers, issuers, or other users except as described in the Privacy Policy or as required by law.

9. Intellectual Property

All intellectual property in the Platform — including its software, analytical models, scoring methodology, report templates, interface design, text, and branding — belongs to Edhaz Markets Private Limited or its licensors. The analytical methodology underlying the Platform is proprietary and confidential, and constitutes a trade secret.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the permitted purposes in these Terms.

You may not:

  • Copy, republish, or redistribute Platform content or reports commercially without written permission.
  • Reverse-engineer, decompile, or attempt to derive the analytical methodology, scoring logic, weights, or thresholds.
  • Use automated means, including scraping or bulk querying, to extract data or outputs.
  • Use Platform output to construct a competing analytical product or service.
  • Remove or obscure any proprietary notice.

10. Prohibited Conduct

You must not:

  1. Impersonate any person or misrepresent your affiliation.
  2. Use the Platform for any unlawful purpose, including market manipulation, insider dealing, or money laundering.
  3. Upload data you are not authorised to possess or process.
  4. Interfere with the operation or security of the Platform.
  5. Circumvent access controls, usage limits, or authentication mechanisms.
  6. Present Platform output as personalised investment advice or as your own analysis, unless authorised under a separate written agreement.

11. Third-Party Data and Services

The Platform relies on market, corporate action, and reference data from third-party sources believed to be reliable but not independently verified. Prices may be delayed. We make no representation as to accuracy, completeness, or timeliness, and are not liable for errors, omissions, or interruptions.

Where the Platform integrates with a broker or other third-party service at your instruction, that provider’s terms continue to govern your use of it.

12. Availability and Changes

We aim to keep the Platform available but do not guarantee uninterrupted access. We may modify, add, or discontinue features. Where a change materially reduces the functionality of a paid subscription, we will give reasonable notice. Changes to the analytical methodology follow a documented versioning process, and material changes are notified to institutional partners in advance.

13. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that analytical output is accurate, complete, or suitable for any particular purpose, or that use of the Platform will produce any particular investment outcome.

14. Limitation of Liability

To the maximum extent permitted by law:

  1. We are not liable for any investment loss, trading loss, loss of profit, loss of opportunity, or loss of anticipated saving arising from use of the Platform or reliance on its output.
  2. We are not liable for indirect, incidental, special, consequential, or punitive damages.
  3. Our aggregate liability, whether in contract, tort, or otherwise, is limited to the total fees paid to us in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify and hold harmless Edhaz Markets Private Limited, its directors, officers, employees, and affiliates against any claim, liability, loss, or expense arising from your breach of these Terms, your misuse of the Platform, or your violation of applicable law or third-party rights. Where you are an institution surfacing Platform output to your own clients, this indemnity extends to claims brought by those clients arising from your presentation of that output.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at Mumbai, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

17. Grievance Redressal

In accordance with the Information Technology Act, 2000 and rules made thereunder:

We acknowledge complaints within forty-eight hours and endeavour to resolve them within fifteen days.

18. Amendments

We may amend these Terms at any time. Revised Terms will be posted with an updated revision date. Continued use after a change takes effect constitutes acceptance.
